China's IPO Boom

2009 saw an IPO boom led by Chinese companies seeking listings in both mainland China and Hong Kong. With this trend set to continue in 2010, Christine Chang and Barry Mitchell were among those interviewed by Asia Legal Business magazine on the Chinese IPO market. 

The article discusses the recent announcement by the HKSE, allowing British Virgin Islands ("BVI") companies to apply for a listing. With that, comes the option of an exit through an IPO. Consequently, more investment in China through BVI companies is anticipated. Both the Cayman Islands ("Cayman") and the BVI are popular jurisdictions for the incorporation of listed entities. However, Christine notes that the offshore legal counsel role in IPOs is far from commoditised. She cites as an example, Maples and Calder's counsel to the Evergrande Real Estate Group on its pre-IPO restructuring in 2009 which involved pioneering advice from a Cayman and BVI law perspective on equity and debt restructuring and compliance.
