Maples Advises Bain Capital and Consortium Partners on €2.1Billion Public Takeover of Ahlstrom-Munksjö

Maples and Calder, the Maples Group's law firm, was delighted to act as lead Luxembourg counsel for Bain Capital Private Equity ("Bain") and its consortium partners, Ahlström Capital Oy, Viknum AB and Belgrano Inversiones Oy, on the public takeover of Ahlstrom-Munksjö Oyj, on a recommended tender offer for all the issued and outstanding shares in Ahlstrom-Munksjö.  The offer valued Ahlstrom-Munksjö’s total equity at approximately €2.1 billion for all shares listed on both Nasdaq Helsinki and Nasdaq Stockholm.

Ahlstrom-Munksjö is a global leader in innovative and sustainable fibre-based materials, and its products are used in a broad range of industrial applications and consumer-driven products and processes.  Ahlstrom-Munksjö is headquartered in Finland and its shares are listed in Helsinki and Stockholm.  The Board of Directors of Ahlstrom-Munksjö, represented by a quorum comprising the non-conflicted members of the Board of Directors, has unanimously decided to recommend that the shareholders of Ahlstrom-Munksjö accept the Tender Offer and the shares validly tendered and accepted as of February 2022 represent approximately 90.6 per cent of all the shares subject to the Tender Offer 

A team of lawyers in the firm's Luxembourg office advised Bain on the Luxembourg legal matters relating to this transaction and was led by Marjorie Allo, Partner and head of the Corporate team in Luxembourg, with Associate Timothée Gras and Marine Bauchet, who are also members of the Corporate team.  

Kirkland & Ellis acted as US legal counsel and Roschier acted as Finnish lead counsel to Bain.
